This Terms of Service (this “Agreement”, “Terms”) is between 1453443 B.C. LTD. (“we,” “us,” “System,” “Platform,” “1453443 B.C. LTD.” or “Netjet.io”) and the person (“you,” “User” or “Customer”) using our services (“Services” or “Service”).

By accessing or using our Services, you agree to be bound by this Agreement, our Privacy Policy, and our Data Processing Addendum. If you do not agree to all terms, please refrain from using the Platform.

Creating an Account

To create an account, you must provide accurate information, including a name, email, and password, and accept our Privacy Policy and Data Processing Addendum. Your account details must remain confidential, and you are solely responsible for all activities conducted through it. If you discover any unauthorized use, notify us immediately. We are not liable for losses or damages from unauthorized access to your account due to your failure to secure your credentials.

Your Content

All content you upload, including images, videos, audio files, design elements, and text, remains your responsibility. You must back up your content independently; we are not liable for content loss or deletion. You retain intellectual property rights to your content, but you grant Netjet.io a non-exclusive, royalty-free license to use your content as required to provide the Services.

Netjet.io is not responsible for any damages resulting from or related to User Content, including claims, damages, or liabilities from third-party rights violations. We may delete any harmful, infringing, or illegal content without notice.

License to Use Content for Marketing Purposes

By using our Services, you grant Netjet.io a worldwide, royalty-free, perpetual, non-exclusive license to feature your website, including names, logos, trademarks, and service marks, for promotional and marketing purposes. You can opt-out by contacting us at support@netjet.io.

User Obligations

To use the Services, you must:

• Be at least 16 years old.
• Own the rights to all uploaded content and ensure that it is lawful and non-infringing.
• Avoid using the Platform for illegal or harmful purposes, including phishing or spreading malware.
• Refrain from uploading any malicious code, viruses, or adult content.
• Ensure all account information remains accurate and up-to-date.
• Notify us immediately if you become aware of unauthorized account use.

We reserve the right to suspend or terminate accounts violating any of these terms without refund.

Illegal Use of Our Platform

1453443 B.C. LTD. is not liable for illegal activities performed by Users on our Platform. You bear full responsibility for ensuring that all content and actions comply with applicable laws. Netjet.io reserves the right to report illegal activities to law enforcement as needed.

Third-Party Services

Some Services may include integrations with third-party platforms, such as payment processors, governed by their own terms and policies. Netjet.io does not control or assume liability for third-party services, including loss of data, revenue, or goodwill resulting from their use.

Disclaimer and Warranty

Netjet.io provides services "as is" without any warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or performance reliability. We disclaim all liability for errors, delays, interruptions, or failures in providing our Services.

Limitation of Liability

Under no circumstances will Netjet.io or its affiliates be liable for indirect, incidental, punitive, or consequential damages, including loss of profits, revenue, or data, regardless of legal theory. Our maximum liability is limited to the fees you paid for the relevant Service.

Indemnity

You agree to indemnify and hold harmless Netjet.io, its affiliates, employees, and contractors from any claims, liabilities, damages, expenses, or losses arising from your use of the Platform or violation of these Terms. This includes any legal fees incurred by Netjet.io in connection with claims arising from your use of our Services.

Billing, Payments, and Chargebacks

Payment terms are specified at the time of purchase. All fees are due in advance, non-refundable after 30 days, and subject to automatic renewal unless canceled. We are not responsible for billing errors, including duplicate charges or incorrect billing. Users must notify us of any billing errors within 30 days, and we will take reasonable corrective action. Any chargeback may result in account suspension or termination.

Cancellation and Termination

We reserve the right to suspend or terminate your account for failure to pay fees or comply with these terms. Upon termination, all associated data may be deleted. Refunds are only available within 30 days of subscription initiation.

GDPR and Data Protection

Netjet.io complies with applicable data protection laws, including the General Data Protection Regulation (GDPR). By using our Services, you consent to our handling of personal data as described in our Privacy Policy.

Modifications to Terms

Netjet.io may modify this Agreement, Services, or fees at any time. You will be notified of any substantial changes in advance. Continued use of the Services signifies acceptance of modified terms.

Miscellaneous

This Agreement is governed by Canadian law, without regard to conflicts of laws. If any provision of this Agreement is deemed invalid, the remaining provisions will remain enforceable. We reserve the right to update or change these Terms at any time without prior notice, and it is your responsibility to regularly review them for updates.

By continuing to use our Services, you affirm that you have read, understood, and agreed to this Agreement in its entirety.
